Jan C. Ross (the "Offeror") announces that, pursuant to a non-brokered private placement, he acquired ownership of an additional 65,000 units (the "Units") of Alliance Mining Corp. (the "Issuer") on March 4, 2009 at a price of $0.05 per Unit. Each Unit consists of one common share and one share purchase warrant. Each warrant entitles the Offeror to purchase an additional common share of the Company at a price of $0.08 per share on or before March 4, 2011. Of these 65,000 Units, 20,000 Units are owned directly by the Offeror and 45,000 Units are owned indirectly through the Offeror's wholly owned company, 0740887 BC Ltd.
Prior to this transaction, the Offeror owned or controlled an aggregate of 2,457,500 common shares and 200,000 share purchase warrants in the capital of the Issuer, representing 26.58% of the issued and outstanding shares of the Issuer, or 28.14% assuming exercise of the share purchase warrants. Of these shares and warrants, the Offeror owned, directly, 2,016,000 common shares and 100,000 share purchase warrants. Gabriella Cole, the Offeror's spouse, owned 441,500 common shares and 100,000 share purchase warrants. The Offeror maintains control over these shares and warrants.
After completion of the private placement, the Offeror owns or controls an aggregate of 2,522,500 common shares and 265,000 share purchase warrants in the capital of the Issuer, representing approximately 22.43% of the issued and outstanding shares of the Issuer, or 24.22% assuming exercise of the share purchase warrants.
The Offeror acquired these securities for investment purposes. The Offeror may acquire additional securities or dispose of his existing securities on the basis of his assessment of market conditions and in compliance with all applicable securities regulatory requirements.
