Update on Plan of Arrangement with Lahontan Gold

Emergent entered into an arrangement agreement dated September 15, 2026 (the “Arrangement Agreement”) with Lahontan Gold Corp. (“Lahontan”), pursuant to which Lahontan proposes to acquire all of the issued and outstanding common shares of Emergent by way of a court-approved plan of arrangement (the “Transaction”). Further details of the Transaction were announced in the Company's news release dated September 16, 2026. The Arrangement Agreement, including the plan of arrangement, is available under Emergent's and Lahontan's respective profiles on SEDAR+ at www.sedarplus.ca.

The Company has received conditional acceptance from the TSX Venture Exchange (the “TSXV”) for the Transaction. Emergent is preparing its management information circular for its annual general and special meeting of shareholders scheduled for December 4, 2026, at which shareholders will be asked to vote on the Transaction and other business. The Company is also preparing the related court materials. Completion of the Transaction remains subject to shareholder and court approval, final acceptance of the TSXV, any other required approvals, and satisfaction or waiver of the conditions set out in the Arrangement Agreement.

Reminder of November 2026 Warrant Expiries

The Company reminds holders of common share purchase warrants issued in connection with private placements completed on November 14 and 19, 2024 that the warrants (the “Warrants”) are scheduled to expire on November 14 and 19, 2026, respectively. Each whole Warrant entitles its holder to acquire one common share of Emergent (an “Emergent Share”) at an exercise price of C$0.10 per share. The Warrants are non-transferable, and management does not currently intend to seek an extension of their term.

Under the terms of the proposed Transaction, Emergent shareholders would receive 0.3115 of a common share of Lahontan (a “Lahontan Share”) for each Emergent Share held, equivalent to approximately one Lahontan Share for every 3.21 Emergent Shares. Completion of the Transaction remains subject to required approvals and other conditions and is not assured. Warrant holders should consult their own advisers and review the terms of their Warrants before making any decision regarding exercise.
